1.1 "Company", "SayBill", "we", "us", "our": The provider of the Service.
1.2 "Service": The SayBill AI-powered ERP, including web, mobile, voice, chatbot, WhatsApp/Telegram integrations, AI mentorship, APIs, documentation, and related content.
1.3 "User": Any individual accessing or using the Service under your account.
1.4 "Customer", "you", "your": The entity or individual accepting these Terms.
1.5 "Plans": Subscription tiers (Basic, Gold, Platinum) with defined entitlements.
1.6 "Content": Data, text, audio (including voice), prompts, files, or materials submitted, processed, or generated via the Service.
1.7 "Third-Party Integrations": External services (e.g., WhatsApp, Telegram, payment gateways, storefronts) connected to or used with the Service.
2.1 You must be legally capable of forming a binding contract and, if representing an entity, have authority to bind that entity.
2.2 Accurate, complete registration information is required; keep it updated.
2.3 You are responsible for all activities under your account and for maintaining the confidentiality of credentials.
2.4 We may refuse, suspend, or revoke accounts for violations, fraud, or risk concerns.

3.2 Pricing is exclusive of taxes, duties, and government charges. Applicable taxes are your responsibility.
3.3 Usage limits (e.g., users, integrations, API calls) apply per Plan; overages may incur additional fees if offered.
3.4 Plan features may evolve; material changes will be communicated as per Section 24.
4.1 You authorize us and our payment processors to charge your provided payment method for fees, taxes, and applicable overages.
4.2 Chargebacks: Unfounded chargebacks are prohibited. We may suspend or terminate accounts for chargeback abuse and may recover associated fees and costs.
4.3 You must maintain valid payment information. Failed payments may result in immediate suspension.
5.1 Trials or promotions, if offered, are time-limited and subject to stated terms.
5.2 At trial end, unless canceled, you will be converted to a paid Plan and billed.
5.3 We may modify or withdraw trial or promotional offers at any time.
6.1 Subscriptions renew automatically at the end of each term (monthly unless otherwise specified).
6.2 Cancel anytime before renewal to avoid the next charge. Cancellations take effect at period end; no partial refunds except as stated in Section 7.
6.3 We may decline renewals with prior notice.
7.1 First-time subscribers may request a refund within 3 days of initial paid activation.
7.2 Refunds exclude taxes, currency conversion, bank, or gateway fees where non-refundable.
7.3 No refunds for renewals, mid-cycle cancellations, misuse, violations, or chargeback abuse.

9.1 Outputs are machine-generated, probabilistic, and may be incorrect, incomplete, or inappropriate.
9.2 The Service does not provide financial, tax, legal, or compliance advice. Decisions are your responsibility.
9.3 You must review and validate all outputs before use.
10.1 The Service is a tool to assist workflows; it does not guarantee accuracy, compliance, or suitability for statutory filings.
10.2 You are solely responsible for financial records, filings, taxes, and regulatory compliance.
10.3 No guarantee of profit, savings, or business outcomes.
11.1 Use of integrations is subject to third-party terms.
11.2 We are not liable for third-party availability, security, data handling, message delivery, or changes to their APIs.
11.3 You must obtain and maintain required permissions, credentials, and consents for such integrations.
12.1 We retain all rights, title, and interest in the Service, including software, models, UI, branding, and documentation.
12.2 No rights are granted except as expressly stated. No reverse engineering, decompiling, or derivative works.
12.3 Feedback may be used by us without restriction or obligation.
13.1 You retain ownership of your Content.
13.2 You grant us a non-exclusive, worldwide license to host, process, transmit, and display Content as necessary to provide and improve the Service.
13.3 You represent you have lawful basis and rights to submit Content and to permit our processing.
14.1 Voice inputs are processed to deliver voice automation features.
14.2 We may use de-identified and aggregated data to improve models and quality, subject to our privacy and security controls.
14.3 Do not submit sensitive personal data in voice or text unless you have explicit legal basis and have implemented required safeguards.
15.1 We use industry-standard security controls, including encryption in transit (TLS) and at rest for applicable data.
15.2 You are responsible for endpoint security, access controls for your users, and safeguarding credentials and tokens.
15.3 Incident response: We will notify you of confirmed security incidents affecting your data without undue delay, consistent with applicable law.
16.1 To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid to us in the 12 months preceding the claim.
16.2 We are not liable for: (a) indirect, incidental, special, consequential, punitive damages; (b) loss of profits, revenue, business, goodwill, data, or anticipated savings; (c) third-party integrations or networks; (d) use or reliance on AI outputs.
16.3 These limits apply regardless of theory of liability and even if advised of the possibility of such damages.
17.1 You will defend, indemnify, and hold harmless SayBill, its affiliates, and personnel from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your Content; (b) your use of the Service; (c) breach of these Terms; (d) violation of law or third-party rights; (e) misuse of integrations; (f) chargeback abuse or fraud.
18.1 We may suspend or terminate access immediately for violations, fraud, chargeback abuse, security risk, or harm to the Service.
18.2 We may also suspend for non-payment, exceeding limits, or legal/regulatory requirements.
18.3 Upon termination, your right to use the Service ceases; accrued fees remain payable. We may, but are not obliged to, retain Content for a limited period for export if allowed by law.
19.1 We may modify features, limits, or availability for security, compliance, performance, or business reasons.
19.2 Material adverse changes to paid features will be communicated with reasonable notice where practicable.
20.1 Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, governmental actions, war, terrorism, labor disputes, internet or utility failures, or third-party service outages.
21.1 For customers domiciled in India: These Terms are governed by the laws of India.
21.2 For customers domiciled in the UAE: These Terms are governed by the laws of the United Arab Emirates.
21.3 For others: Governing law defaults to the laws of India, without regard to conflict of laws principles.
22.1 Parties will first attempt good-faith negotiation.
22.2 If unresolved within 30 days, disputes shall be finally resolved by arbitration:
22.3 Injunctive relief: Either party may seek interim or injunctive relief in competent courts to protect IP or confidential information.
23.1 We may monitor for compliance.
23.2 We may suspend without prior notice for fraud, chargeback abuse, security threats, or material breaches.
23.3 You remain responsible for all fees during suspension unless waived in writing.
24.1 We may update these Terms; material changes will be notified via the Service or email.
24.2 Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel per Section 6.
